By accessing or using DispatchTrace ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. These terms apply to all users, including trucking companies, owner-operators, dispatchers, and fleet managers.
2. Description of Service
DispatchTrace is a cloud-based trucking management system that provides:
- Fleet management (trucks, trailers, and driver tracking)
- Load management and dispatch tools
- Automated invoicing and payment tracking
- Document management with AI-powered extraction
- Real-time load board and status updates
- Analytics and reporting features
- Compliance and certification tracking
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and authorized to bind your company to these terms. By registering, you represent that all information provided is accurate and current.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access or security breach.
3.3 Invitation-Only Access
DispatchTrace operates on an invitation-only basis. Access is granted upon approval by our team. We reserve the right to refuse service to anyone for any reason.
4. Subscription and Fees
4.1 Pricing
DispatchTrace offers customized pricing plans tailored to your specific business needs. Subscription fees are determined based on factors including fleet size, required features. We work with each client to develop a pricing structure that fits their operational requirements and budget.

4.2 Payment Terms
Invoices are issued at the end of each month for services rendered during that month. Payment is due within 10 days of invoice date. We accept wire transfers. Failure to pay within the agreed timeframe may result in service suspension or termination.
All payments are non-refundable. We do not offer refunds for any subscription fees or services rendered.
5. User Responsibilities
You agree to:
- Provide accurate and complete information
- Maintain the security of your account
- Comply with all applicable laws and regulations, including DOT requirements
- Use the Service only for lawful business purposes
- Not attempt to reverse engineer, hack, or compromise the Service
- Not share account access with unauthorized users
- Not upload malicious content or viruses
- Respect intellectual property rights
6. Data Ownership and License
6.1 Your Data
You retain all ownership rights to the data you upload to DispatchTrace. By using the Service, you grant us a limited license to process, store, and display your data solely to provide our services.
6.2 Our Intellectual Property
DispatchTrace, including all software, designs, trademarks, and content, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
7. Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. We are not liable for service interruptions caused by:
- Internet service provider issues
- Force majeure events (natural disasters, wars, etc.)
- Third-party service failures
- Scheduled maintenance
- Your breach of these terms
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPATCHTRACE SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, or consequential damages
- Lost profits, revenue, or data
- Business interruption or loss of opportunity
- Damages exceeding the amount paid by you in the past 12 months
DispatchTrace is a management tool and does not replace professional judgment. You are solely responsible for compliance with DOT regulations, safety requirements, and business decisions made using our platform.
9. Indemnification
You agree to indemnify and hold harmless DispatchTrace and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these terms, or infringement of any rights of another party.
10. Termination
10.1 By You
You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.
10.2 By Us
We may suspend or terminate your account if you:
- Violate these terms
- Fail to pay fees
- Engage in fraudulent or illegal activities
- Misuse the Service or harm other users
10.3 Data Export
Upon termination, you have 30 days to export your data. After this period, your data may be permanently deleted. We are not responsible for data loss after account termination.
11. Changes to Terms
We may update these Terms of Service from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the new terms.
12. Governing Law and Dispute Resolution
These terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You waive the right to participate in class action lawsuits.
